Company Formation and Business Support in the UAE

We help entrepreneurs and companies enter the UAE market, establish a legal entity, select the appropriate jurisdiction and prepare a corporate structure for genuine business operations.

Setting up a business in the Emirates rarely ends with obtaining a licence. Before registration, it is important to determine where customers and suppliers will be located, which transactions the company intends to conduct, whether office premises will be required, how many visas are needed and how the company will approach bank onboarding.

MANAR CAPITAL treats company formation, residency and financial infrastructure as connected parts of one project. This approach helps prevent situations in which a company has already been established but its licence, jurisdiction or corporate documents do not correspond to its intended operations.

Key Services

Company Formation in the UAE

We assess the business model and select the jurisdiction, legal form, licence and licensed activities. We prepare the corporate documents and support the issuance of the business licence.

When selecting the structure, we consider not only the formation cost, but also future contracts, transaction geography, office and visa requirements, tax and accounting obligations, and the intended bank account.

Free Zone or Mainland

We compare company formation in a UAE Free Zone with establishing a business on the Mainland.

The choice depends on the business activities, customer market, premises requirements, number of employees and visas, tax model, banking profile and annual maintenance costs.

Turnkey Company, Residency and Bank Account Setup

We create one coordinated route for entrepreneurs who require not only a business licence, but also a UAE residence visa, Emirates ID and corporate bank account.

We align the company’s future activities, corporate documents, visa allocation and proposed transactions in advance so that each subsequent stage supports the selected structure.

Why the Business Structure Should Be Planned Before Registration

The UAE has a large number of registration authorities, Free Zones, legal forms and licence categories. Several options may formally fit a general description of the proposed business, while offering very different capabilities once the company begins operating.

For example, a formation package may include a licence and one residence visa but not provide enough visas for employees or family members. The selected activity may permit the provision of services but not cover trading or intermediary operations. An office solution may satisfy the registration requirements but prove insufficient when the team expands.

Bank onboarding is a separate consideration. A bank reviews not only whether the company holds a licence, but also the economic rationale for the structure, the owners’ experience, future counterparties, transaction countries, source of funds and whether the expected payments correspond to the registered activities.

We therefore assess the entire business model before documents are submitted, rather than focusing only on obtaining the licence.

How to Select the Right Corporate Route

The process begins with the client’s objectives. One entrepreneur may need a company for international consulting or IT services. Another may plan to import goods and sell them within the UAE. A third may intend to open a local office, employ staff and work with UAE customers.

A Free Zone company may be considered for an international service-based model. Mainland may be more suitable for a business requiring direct access to the domestic market, commercial premises or local operating infrastructure.

These are not universal rules. Subject to the applicable conditions, a Free Zone company may work with customers within the UAE, while a Mainland company may conduct international business. The specific licence, contractual model and requirements of the selected emirate must be assessed.

The differences are explained in more detail on our “Free Zone or Mainland: Which Should You Choose?” page.

Company Formation in the UAE

Once the corporate route has been selected, the legal form, ownership structure, manager or director, trade name and licensed business activities are determined.

Applications and incorporation documents are then prepared, a registered address or suitable office solution is arranged, the necessary approvals are obtained and the business licence is issued.

Regulated activities may require additional permits. This may apply, for example, to certain financial, investment, healthcare, educational, tourism, transport and manufacturing activities.

Following registration, the company’s tax obligations must be determined, accounting records organised and documents prepared for subsequent immigration and banking procedures.

Company, Residency and Banking Infrastructure

For many clients, obtaining the business licence is only the first stage. The entrepreneur may also need to obtain UAE residency and an Emirates ID and open a corporate bank account.

These processes are interconnected. The jurisdiction and office solution affect visa allocation. The licence and business activities shape the company’s banking profile. The corporate structure and the owner’s documents are reviewed when assessing the source of funds and the economic rationale for the business.

We therefore plan the following sequence in advance:

business model → jurisdiction selection → company formation → residence visa and Emirates ID → bank onboarding → commencement of operations.

This format is suitable for entrepreneurs who need a complete infrastructure for living in the UAE, managing their business and conducting international transactions.

What Happens After the Licence Is Issued

A registered company must maintain its corporate documents and comply with the applicable legal and regulatory requirements.

Once the licence has been issued, the company’s corporate tax position must be determined, the need for VAT registration assessed, the financial year established and systems introduced for retaining agreements, invoices, banking documents and supporting evidence of expenses.

Where the owner or employees require residency, the company’s immigration registrations are completed and the visa process begins. This may include an immigration status change, medical fitness testing, biometrics and Emirates ID issuance.

A separate banking package is prepared for the corporate account application. It may include a business description, the owner’s CV, the corporate structure, information about counterparties, agreements, invoices, projected turnover and evidence of the source of capital.

The expiry dates of the licence, office arrangement, visas and other registration documents must then be monitored. Changes to the company’s activities, ownership or transaction geography may require updates to its corporate and banking profile.

Ongoing Business Support

Once the company has been launched, MANAR CAPITAL can continue to assist with corporate, immigration, banking and operational matters.

Depending on the project, the engagement may include licence and residence visa renewals, amendments to corporate documents, employee visa arrangements, bookkeeping, tax registration and preparation of the required reporting.

Where the business requires a specialist permit or professional licence, we coordinate the work of relevant legal, tax, accounting and immigration partners.

The scope of support is determined individually. One company may require assistance only during formation, while another may need ongoing support for its corporate structure and financial infrastructure.

How MANAR CAPITAL Supports the Project

During the initial consultation, we review the client’s activities, markets, expected counterparties, currencies, turnover, ownership structure and plans for a presence in the UAE.

Following the assessment, we propose suitable registration options and explain the differences between them. The client gains an understanding not only of the initial cost, but also of future expenditure on premises, visas, taxes, accounting and annual renewals.

Once the structure has been agreed, we prepare the documents and coordinate company formation. Where required, we then proceed with residency, Emirates ID, bank onboarding and the organisation of international payments.

MANAR CAPITAL supports the process and helps respond to additional requests from registration authorities and banks. Decisions on issuing a licence or visa and opening an account are made by the relevant government authority or financial institution.

Frequently Asked Questions

Can a company be established remotely?

In many cases, a significant part of the company formation process can be completed remotely. Personal attendance may nevertheless be required for certain legal procedures, residency formalities and bank onboarding.

Which is better: Free Zone or Mainland?

The choice depends on the business activities, customer geography, office requirements, number of visas, tax model and banking needs. There is no single solution suitable for every company.

Can a foreign national own 100% of a UAE company?

Full foreign ownership is the standard model in Free Zones. It is also available on the Mainland for most commercial and industrial activities. Special conditions may apply to certain regulated sectors.

Can UAE residency be obtained through a company?

Yes. A registered company may provide a basis for the residency of an owner, partner, manager or employee. Separate immigration procedures must be completed after the company has been established.

Does company formation guarantee a corporate bank account?

No. The bank conducts an independent review of the company, its owners, source of funds, counterparties and proposed transactions.

Is bookkeeping required?

Once the company has been registered, its tax and accounting obligations must be determined. Even where the number of transactions is limited, corporate and financial records must be retained and the applicable reporting requirements followed.

Can employees and family members obtain visas?

Visa availability and allocation depend on the jurisdiction, licence, office solution and the principal applicant’s status. These requirements should be considered before the company is registered.
